AGITG Confidentiality and Conflict of Interest Policy, June 2018

Confidentiality

This policy shall govern the use and disclosure of AGITG’s Confidential Information (as defined below) by the Recipient.

  1. “Confidential Information” means proprietary or confidential technical, business, scientific, or other information or ideas related to AGITG’s clinical trials and/or non-interventional studies, disclosed by or on behalf of AGITG, including without limitation, information relating to study designs, indications, combination therapies and products. The Confidential Information is being disclosed for the sole purpose of allowing the Recipient to participate in AGITG activities, as may be requested by AGITG (the “Purpose”).
  2. The Recipient shall limit disclosure of Confidential Information only to those who have a need to know in connection with the Purpose and who are bound by obligations of confidentiality substantially similar to those in this Agreement. The Recipient shall inform other Recipients of the proprietary nature of the Confidential Information and use all reasonable efforts to ensure that they do not disclose Confidential Information to a third party or use Confidential Information except as permitted herein.

Conflict of Interest

  1. Members of the AGITG Board, Operations Executive Committee, Scientific Advisory Committee, Upper and Lower GI Working Parties and study Principal Investigators are required to:
    1. Provide signed declaration forms describing any arrangements that have been entered into, or have been active, over the previous 12-month period. These declarations will be recorded in the minutes of the relevant meeting.
    2. Disclose all benefits received from all pharmaceutical companies currently providing financial support. This would include shares or direct personal benefit gained. Trial specific funding does not need to be declared. Members would not be required to make a declaration where such declaration would be in breach of a confidentiality agreement.
  2. It is understood that information provided by the relevant members is for the purposes of disclosing potential conflicts of interest within the group, will not be put to any other purpose, and will be viewed only by the Board and relevant committees.
  3. Where in the opinion of the Board of the AGITG or CEO, members are required to lodge a conflict of interest statement and fail to do so within a reasonable period of time, such members will become ineligible to hold any office within the group.

Items for disclosure include any benefits from arrangements that have resulted in benefits directly to the individual or a family member of AUD$1000 or more. This includes cash and kind, hospitality, gifts, subsidies or research grants.
